General Terms and Conditions
The following general terms and conditions apply to all advisory services, assistance, and deliverables provided by AL Legal ApS (hereinafter referred to as "AL Legal") to its clients.
These terms and conditions, together with the specific engagement letter, constitute the entire basis of agreement.

1.Company Status, Identity, and Advisory Basis
Corporate Legal Advisory: AL Legal ApS is a Danish private limited company providing specialized legal advisory services within corporate law, law of obligations, contract law, and general commercial law, including the drafting of terms and conditions (T&Cs), purchase agreements, and related services.
Not a Law Firm: It is explicitly clarified to the client that AL Legal is operated as an independent legal advisory firm and not as a traditional law firm. The advisers at AL Legal do not practice law as attorneys (advokater) and are therefore not subject to the specific supervision, client account regulations, or rules of professional conduct of the Danish Bar Association (Advokatsamfundet). By entering into an agreement, the client declares to be fully aware of and in agreement with this status.
2.Scope of Services and Fees
Basis of Agreement: The precise scope of the assignment, expected time spent, and any special terms shall be determined in a written engagement letter (Engagement Letter) between AL Legal and the client. Amendments or additions to the assignment shall be agreed upon on an ongoing basis.
Determination of Fees: Unless otherwise expressly agreed, assignments are billed based on time spent at a standard hourly rate of DKK 2,500 excl. VAT. AL Legal reserves the right, upon final invoicing, to adjust the fee upwards or downwards based on the economic or strategic importance of the assignment to the client, the liability involved, the urgency of the matter, and the specialized expertise demonstrated.
Disbursements: In addition to the fee, the client shall reimburse all external costs and disbursements incurred by AL Legal in connection with the performance of the assignment, including, but not limited to, registration fees to the Danish Business Authority (Erhvervsstyrelsen), court fees, or external translations.
3.Liability and Limitation of Liability
Liability: AL Legal is liable for the advisory services provided in accordance with the general rules of Danish law. The advice is based solely on the factual and legal information applicable at the time the advice is delivered.
Limitation of Liability: AL Legal's liability for damages is in all events limited to an amount equal to 3 times the total fee paid by the client for the specific assignment, and can maximum amount to an absolute cap specified in the engagement letter. Under no circumstances shall AL Legal be liable for indirect loss, operating loss, loss of time, loss of data, loss of profit, loss of goodwill, or any other consequential financial loss suffered by the client or any third party.
4.Client's Cooperation and Duty of Disclosure
Timely Information: The client is obliged, on its own initiative and without delay, to provide AL Legal with access to all relevant information, documents, and background material necessary for the correct and comprehensive execution of the assignment. AL Legal shall base its services on the information provided by the client without separate verification, unless otherwise agreed.
5.Confidentiality and Personal Data
Confidentiality: AL Legal treats all information received from the client or regarding the client's affairs as strictly confidential. This confidentiality obligation is of indefinite duration and continues after the completion of the assignment.
Personal Data (GDPR): In accordance with the applicable data protection legislation, AL Legal implements the necessary technical and organizational security measures to ensure that personal data is processed securely and confidentially.
6.Termination of Cooperation
Right of Termination: The client may freely and without notice terminate the agreement and discontinue the cooperation at any time.
Final Settlement: In the event of termination, a final settlement will be made for all work performed to date that has not yet been invoiced, as well as disbursements incurred up to the time of receipt of the termination notice. Relevant original documents provided by the client will be returned after settlement.
7.Governing Law and Venue
Danish Law: Any dispute, discrepancy, or claim arising out of or in connection with these general terms and conditions or the advisory services of AL Legal shall in all respects be governed by Danish law.
Venue: Such disputes shall be brought before the Danish courts as the exclusive court of jurisdiction.
